D3 Web Services LLC – Hosting & Maintenance Subscriptions

These Terms and Conditions ("Terms") govern the purchase and use of monthly or prepaid annual hosting and maintenance subscription services ("Services") provided by D3 Web Services LLC, a Texas limited liability company ("Company," "we," "us," or "our"). By purchasing or paying for a subscription, you ("Client," "you," or "your") agree to be bound by these Terms.

1. Services Provided

D3 Web Services LLC offers website hosting and maintenance services under three subscription tiers: Basic Tier: Website hosting only. Middle Tier: Website hosting plus up to five (5) hours per month of content updates or changes. High Tier: Website hosting plus unlimited content changes, subject to reasonable use. All plans include general maintenance and support as applicable. "Unlimited changes" are subject to reasonable use and exclude full website redesigns. New features or functionality may be limited or declined based on complexity and scope, at the Company's discretion. Unused monthly hours do not roll over.

2. Term Commitment

All subscription plans require a minimum commitment of one (1) year. Clients may choose to pay monthly or pay upfront for the year at a discounted rate. Regardless of payment method, the Client is financially responsible for the full one-year term. Subscriptions do not allow early cancellation or prorated refunds.

3. Payments & Billing

The initial payment is made manually. Clients may optionally enable recurring billing thereafter. Payments are due according to the selected billing schedule. No refunds are offered under any circumstances. If a payment is late, a one (1) week grace period applies. If payment is not received within the grace period: Website hosting services may be suspended or terminated. The outstanding balance will continue to accrue through the remainder of the one-year term. Any unpaid balance must be paid in full before the Client may renew or purchase another subscription term.

4. Suspension & Termination

Hosting services will be shut off: After the grace period for non-payment, or Upon expiration of the one-year subscription term if not renewed. The Company reserves the right to suspend or terminate services immediately if the Client's website content is illegal, infringes intellectual property rights, is malicious, or violates applicable laws or regulations.

5. Client Responsibilities

Clients are responsible for: Providing accurate and lawful content. Ensuring that all content does not infringe on third-party rights. Maintaining ownership and control of their domain name. The Company is not responsible for delays caused by the Client's failure to provide content, approvals, or required access.

6. Intellectual Property & Code Ownership

All website code, configurations, and technical implementations created or maintained as part of the Services remain the sole property of D3 Web Services LLC. The Client does not receive the website code upon termination or expiration of services. The Company retains ownership of hosting infrastructure, tools, and codebase. The Client retains ownership of their domain name. Upon termination, the domain will remain with or be transferred to the Client if applicable.

7. Backups & Data

The Company does not provide backups. While version control may be used for development purposes, no backups are guaranteed, and the Company is not responsible for data loss, corruption, or restoration.

8. Uptime & Downtime

The Company will use commercially reasonable efforts to maintain website availability. However, uninterrupted or error-free service is not guaranteed. The Company is not liable for downtime, outages, cyberattacks, third-party failures, or service interruptions beyond its reasonable control.

9. Third-Party Services

Services may rely on third-party providers (including hosting platforms, software, plugins, or payment processors). The Company is not responsible for failures, outages, changes, or discontinuation of third-party services.

10. Support

Support is available: Monday–Friday, 9:00 AM – 5:00 PM (Central Time) Excluding holidays. The Company aims to respond to support requests within two (2) business days. Emergency support is not available.

11. Limitation of Liability

To the fullest extent permitted by law, D3 Web Services LLC shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business. The Company's total liability for any claim arising out of or related to the Services shall not exceed the total amount paid by the Client during the twelve (12) months preceding the claim.

12. Force Majeure

The Company shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, power outages, internet failures, labor disputes, or governmental actions.

13. Modifications to Terms

The Company reserves the right to update or modify these Terms at any time. Clients will be notified of material changes via email. Continued use of the Services after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.

15. Acceptance of Terms

By submitting payment for a subscription, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions in full.
